When we sold our townhouse in NOLA, realtors told us to sell in Spring because in summer, people looking to buy are in miserable moods because of looking at houses in heat and humidity and general misery.
She doesn't have much wiggle room left and the sell by date is closing fast.
Can she be sure that this is a valid offer and not from one of his buddies who will disappear before closing?

No, but someone who is dealing with a distressed sale might.
When you have seller motivated scenario, such as the details you provided, you can’t really compare to normal transactions.

Does she have 40k to just give to her ex-husband? Or 40k in assets that she can agree to let him have so that he can still come out with his 40k while she keeps the house?

Get this in front of a judge ASAP. I could see one being very, very sympathetic. Source, my wife was a divorce attorney that still works in family court. She sees this crap every day. Judges are human too.
ETA - with her credit, not only could she not buy a new home but renting anything decent is going to be difficult. She's looking at homelessness with a young child that has been abandoned by her POS ex. A decent judge is not going to cause a homeless situation for a child. She's going to have to find some other way to pay off the equity she owes though.
