Shouldn't get to that point. I'd schedule a meeting with someone in Senior Management that you know/trust and would be expecting you to apply and assume the role. In that meeting you can go into greater detail than you did here about your lack of interest; and more importantly, what they can do to improve your group morale and have you interested in the role.

I will just say assume the person that gets that position won't be as enjoyable to work with as she may have been. Are you going to look back and wish you had applied for it then?

Yeah I know this is definitely what will happen... but at least they are trying to do it right by getting someone in before she actually retires.
