It could be something really technical.
My guess is that if it was something really technical and debatable, BK would tell LSU to go F themselves based on everything we know about BK. It must be pretty clear and provable if they are using this to wipe out half of his buyout. That's a ton of money.
It just seems funny to have a morals clause that the coach apparently broke and he still walks away with 27 million. But at least LSU is getting a discount on the buyout. Saving a lot of $$$.

27 all at once up front isn’t quite 54M, but it’s not that far off.
This is a middle of the road settlement to put things behind you.

I mean.. organizations negotiate settlements rather than going to court all the time.
Interesting details In this WAFB story. Kelly has to look for a new job, but it’s not said what the penalty is for not doing so, but even that can’t force him to take a job (it takes two parties to agree on terms). It’s possible Kelly would take a reduced buyout that would be greater than what he would get if it took a new job sooner than later.

Your original position was that LSU wouldn’t agree to a negotiated buyout. But OK, sure:
Les Miles gave up $6.5 million guaranteed for a negotiated lump sum. Jim McElwain agreed to a $7.5 million lump sum when he was guaranteed $12.9 million under his contract. Those are just two recent examples that come to my mind immediately.
If you’re “a lawyer and a manager” as you say, none of this should really seem crazy to you.

I pointed out that the lump sum payment and elimination of offsets against future earnings were a carrot for Kelly like 3 posts ago.
