Bernhard Capital Partners has sold a Baton Rouge pipe fabrication business to a New York based firm, marking the second time the private equity firm has sold a longtime portfolio company to the group.

New York based One Equity Partners will purchase United WELD Holdings, the parent company of Epic Piping, in a deal expected to close by the end of the year. Epic Piping CEO Remi Bonnecaze said in a release that One Equity Partners has the ability to scale the pipe fabrication business, which had been with Bernhard Capital Partners since 2014.

The companies did not disclose the financial terms of the sale. Steel fabrication and induction bending company BendTec has also been under United WELD Holdings’ umbrella since 2021.

Bernhard wasn’t your classic P.E. They were more of a conglomerate, although they probably were treated as P.E. for tax purposes. I had a little exposure to them when they tried to buy our company. They pitched their synergies and political connections, all of which I think were legitimate.

This is meaningless. They’re very much a traditionally structured private equity investment manager.

I said so. But Bernhard Capital put together their pieces into a conglomeration that worked together. most P.E. doesn’t operate that way. Most will have complimentary businesses look out for one another, but for BCP this was their strategy.

I don’t know what any of this means. They’re a private equity investment manager, no different than most other private equity investment managers. They’re not “treated as private equity for tax purposes” whatever the hell that is supposed to mean. Their Form ADV is publicly available.

If you throw out the outliers you are correct.

Unfortunately those outliers exist so you have to include them.

I regularly invest alongside PE. It's quite different from most.
