I won't sell because there is so much information that will come out that will drive stock price up, regardless of contract announcements. Gas contract, contracts to build more Hyperions, NASDAQ uplisting, and, if the rumors are true, an agreement to form a graphene coop with the US Military (or some such thing).
These things should drive the stock price to ATH even if the demand never materializes. If they do these things and are still saying that they are working on getting contracts inked, then I will start to worry.
Even if the NDAs prohibit them from announcing specific vendor contracts, they can always give guidance or announce general terms, such as, "We have signed 10 new contracts for a total of 5,000t of graphene, but we can't reveal who the customers are due to NDAs."

Was reading the HGRAF forum on X and a poster discussed the tax implications of a redomicile to the US. Specifically, he said that until the redomicile is complete, it behooves the company to keep the value of the company lower, which could keep the tax bill lower.
With that in mind, it makes sense that they not make announcements that could drive the stock price up sharply until after the redomicile paperwork is complete.
Anybody out there know enough about corporate taxes to know if this is true?

Does a company valuation affect the taxes?
It makes sense that a company with very little revenue and a lot of expenses would do everything they can to keep taxes low, but does a company valued at $5B pay significantly more than a $1.7B company during a redomicile?

Good question and I have no idea, but here is what Chat thinks:
1. Canada’s corporate emigration / departure tax
When a corporation ceases to be a Canadian tax resident, Canada generally treats the company as if it sold many of its assets at fair market value immediately before leaving.
That means the company may owe tax on unrealized gains — appreciation that exists even if nothing was actually sold.
The tax is generally imposed on:
appreciated intellectual property
patents
trademarks
goodwill
equipment
investments
shares/subsidiaries
crypto or securities holdings
other capital assets
The taxable amount is generally:
Fair market value - tax basis/book basis
So if:
the company owns IP worth $200 million
but its tax basis is only $10 million
Canada may treat the company as having a $190 million gain upon emigration.

So practically they have no revenue, but due to their market cap which essentially future earnings, intellectual property revenue, etc.

Well, if true, we have a damn good reason as to why HGRAF is not making public announcements and why they aren't pushing for the NASDAQ listing.
They have a new headquarters, but that is not the same as redomiciling.
They fired their CFO, and people assume that maybe he f'd up the NASDAQ listing, but it may be that he screwed up the paperwork on the redomicile.
Everybody is blaming it on an incompetent CEO.
If this is true, there could be a slew of announcements that will be made at one time that could show us that they haven't been spinning their wheels all this time.

25% on the gain. Holy shite Canada sucks. I wonder if the IP was "held" by the Canada corporation or elsewhere. That is an insane expense for zero reason.

The question is, how do you know if the management is performing well? I mean, we don't know if they are making all the right moves or not, if they are sitting on announcements while waiting for the redomicile to complete, right? I would say that is damn shrewd, if that is the case.
If, by October the redomicile is completed, NASDAQ uplisting completed, and they are still spinning their wheels with no contracts, no production facility, and no government co-op deal, then we will know the answer.

If Canadian exit taxes are substantial enough to be delaying offtake agreements and something like a government co-op deal, how will HGRAF pay the tax regardless of FMV-tax basis? Based on the speculation in this thread it seems we're talking about millions of dollars, which I don't think HGRAF has. Have they made public some sort of credit arrangement to pay the Canadian government?
Also, I'm no tax lawyer but if HGRAF is 90% of the way to something big, like a development agreement with the pentagon or big sales contract, then drags its feet to avoid signing/announcing until after redomiciling is complete, isn't that the makings of a tax dispute with Canada?

Post on Reddit that phase 2 of their building permit has been approved. Looks like they will get to finish out the construction and hopefully production time soon.

The original patent was owned by the professor and university. It was leased, long term, by the company. The professor had said less than a year ago that he would move to Austin when the company did. Saying he is a brilliant SOB does not begin to praise him enough.
