Seems like the OP has his mind made up and in my opinion is making the right call. It would suck to stay with the company and have to fight to get everything that was promised which is definitely a possibility with a small company. I had a friend in a similar situation(except it was a prominent surveying business) and stayed, when business went unexpectedly south 9 months after agreeing to stay, he was the first one with a pink slip.

Just tell him you want to discuss with wife and family. Of course after he told you that you were slacking earlier, why would you even consider taking their counter? I wouldn't burn any bridges, but I'd go.

Personally, I would have stopped short of that and just hit the road. Especially now that it's uncomfortable, he seems to be making every effort to meet your demands, and if he does make it happen and you still don't accept it'll burn a bridge.

Just my .02 of course, but after their first counter, and your reply of lack of growth opportunity and resignation to advance, etc. would have sent the message.

This is all of course if you were willing to leave and not just looking for leverage.

I worked for small companies for about 8 years in college and a few years after. It really put me behind in terms of salary and retirement with no 401k. I have been with much larger companies for about the last 9 years and my salary has tripled and I have a nice 401k built up. Working at a smaller company was also more stressful worrying about staying in business all the time.

This is a good point and has me really regretting I gave him any number at all.

I hope he will talk to me again before talking to anyone else about that figure so I can remove all doubt once and for all.

I don't think I'd even accept if they offered 80k and 5%. Maybe I'm a fool.

OP was doing fine until he pulled the 80k and equity stuff. NEVER throw out numbers if you're not prepared to do so. Unless you are ready and know your number, just say thank you for the offer, let me think it over so you don't get pressured into doing something like this.

At this point just thank them for everything and go.

Take the F500 job and be done. If they truly cannot operate without you then offer to do contract work on the side at a rate that is commensurate with your value to the company.

Pennies on the dollar--maybe make "less" money at the F500 but 5% on 0 net income is still $0...

Run. To help make it amicable, don’t let him go try and get you that second offer. If he gets it and you turn it down he’s gonna look real bad and be pissed. Sounds like you escaped before the place fell apart.

bullshite! You should rethink that. On health, the out of pocket is WAY lower thru a groups with many more valuable benefits..hearing, yes, etc

What do y'all sell? How much is 5% of sales?

Did anyone ever explain why your manager gave you a bad grade on your work?

Careful, maybe they are just trying to stall to make you miss out on other opportunity.

I bet your boss and CEO are getting benefits, you just don't know about it.

Do the two offers compete against each other in the marketplace?

But I would also say that a 5% increase in today's America is not that bad. A lot of people aren't getting that.
