I'm thinking they use it to build out Tetra sooner without waiting for funds from the JV to do it. Then again over next two years doesn't speak to that.

Yea I think it gives them the out and also puts pressure on any future JV suitors to not frick around. Basically gives them some leverage.
Also, could mean they have another suitor ready now but wants shares for their loans like lanxness.

Yea. I'd wait on this one though. Last time we rolled through a legit offering and never checked up.

Even if they had the funds now I think they still plan on learning a lot from building the first Lanxess plant and applying those learnings to the second and third Lanxess plants and Tetra plant(s).
This offering also may end any speculation of a Lanxess buyout which I frankly wasn’t a fan of anyway.

I didnt ever think lanxness had the funds to complete a buyout worth what we think the company will be worth.
The fact that multiple days this week folks have bought multiple 100K share purchases should give us plenty confidence the big money hasnt left

So I get the apprehension in the microcap space with the concepts of issuances and dilution, but all issuances are not created equal.
Further, this is not an issuance; it is a shelf. Something virtually every real growing company does and is prudent after an uplist. If they had to pull down for G&A or something, fine that would be an issue - but preparing for the ability to be agile - damn well better be ready for that.
And yes, Tetra... just think how long it would take to start Tetra if we waited for: (1) Lanxess to make up their mind; (2) Lanxess to start building the plants; (3) production to begin; and (4) cash flows to be sufficient to fund development over there. Do we really want to wait several years to start Tetra?
My understanding is that if everything went well in Arkansas, California would be in play for 2022. That does not sound like waiting to self fund Tetra would ever be realisticaly on the table.
Finally, lets play worse case on the shelf. Most of us here think this is a multibagger right? Even if the shelf use was a flop, worse case scenario we are looking at 20-25% dilution on a multibagger. I mean if we are trying to shave 7% a year I get the nerves a little bit.
Long story short, prudent responsible decision. If pulled on for hookers and blow then we can talk.

All it does is allow them to make an offering much more efficiently in the future, if they need to. It's just good housekeeping.
Will it dampen the share price in the short term? Yes, probably, because people always panic when they see "$250 million offering dilution oh no!!". But it doesn't impact actual outlook or reflect on the health of the company.
This will accomplish a couple of things. First, if JV talks really have stalled, it tells Lanxess "Look, we can pull the trigger on $250 M and start this ourselves".
Second, if the JV is happening Standard will still have a high capex before they are revenue producing, even with Lanxess contributing. They can capitalize on a JV announcement price spike with an offering and not have to take on any debt. It could be leverage to get a better cut from the JV if they can front a lot of the costs.
Third, they can raise funds for development of their own endeavors, AKA a Tetra unit. Any offering PR that is dropped in tandem with news that they are using the offering to fund a revenue producing expansion will be well received.
A shelf prospectus for a pre revenue company with great IP isn't necessarily bad.

It dropped about 2-3% in the after hours trading this evening (closed at $6.15ish) once the PR came out. My guess is a quick dip to the high $5’s then a rebound, but largely dependent upon how other lithium stocks fare Monday. Thankfully, I don’t think this stock has a huge retail lemming following that doesn’t understand the difference between a prospectus and an offering. Not expecting a seismic reaction, we would’ve seen that already in the after hours most likely.

I bought some puts that expire in October, 5.00 Strike with 39.00 premium. I am willing to buy the shares at 5.00 but just expecting to add premium to lower my share price a little.
