Why is this case being heard in Delaware?

Delaware is the state of incorporation for many large companies.

Interesting. Seems like Twitter is trying to reduce their tax burdens.

twitter is full of bots, that's why it's falling apart

Seemingly liberal people often call me a bot when I disagree with them or make fun of something. I guess I'm to blame.

Interesting.

You'd be surprised how many corporations incorporate in Delaware but have nothing more than a PO Box in the state. In fact, it's most large corporations.

Choice of venue in the merger agreement I believe.

On Monday waking up to the stock market on Twitter, God that’s going to be a great day. It’s going to be like waking up on Christmas morning as a kid.

At one time Union Pacific was incorporated in Delaware while not having rails west of Omaha.

As soon as there was a stall in the deal I thought it wasn't going to ever happen especially when he was requesting information to determine how many accounts were bots.

I would assume that's a number they would only be able to estimate.

Between all of the "political consultant" companies that have farms to create and grow accounts used to get topics trending and to spread whatever narrative they are pushing, the number of the general population who have more than one account and anyone else in any other industry who has many acccounts they used to help them get topics trending, it would be very difficult to determine, one by one, which accounts are legit and which ones are total bullshite.

Twitter has 397 million users. If I had to guess, I'd say about 175 million of those accounts are legit, accounts

Did you read the full filing? He goes into detail about Twitter lying and reducing his ability to query their databases. It’s pretty fascinating and he’s certainly in the right to force the issue here. Twitter suing (which he knew would happen) is going to drag this out and eventually lower the price either with a new deal or arbitration. No one… not a single analyst or major investment bank think $54 is a fair price after all that has happened.

This isn’t a good look for Elon. Given the market in the past seven months he’d be fool to follow through with an offer based on a value derived seven months ago.

This wasn’t about the market, this was about freedom of speech, and either Elon was going to own Twitter and turn it into a complete free speech platform or he was going to burn it to the fricking ground on his way out. Either one is good and God bless Elon Musk for it.

Nonetheless, the bot argument is so bad it has to sour everyone’s opinion from either side. That inherently leads right to the argument about how much influence a single person’s opinion on social media can influence the financial success/failure of essentially anything.

Awww, sad that Twitter just struck the iceberg and it’s sinking?

Yep. I believe the Chancery Court in Delaware is the largest docket in this country for business lawsuits. Makes sense too. You don't want a judge who's a former prosecutor in a random state or federal jurisdiction hearing this case with no business law experience whatsoever.

I was told very specifically that Elon buying Twitter is a direct threat to our democracy.

Those aren't my words. Those were the words spoken by politicians and members of the media.

But now they're celebrating Twitter suing Elon so that he buys them?
