Death to Smoochy (Ed Norton has some of the funniest scenes ever: My Step-Dad's Not Mean, He's Just Adjusting and I'm Rainbow fricking Randolph) I guess this scene might be NSFW, at least according to YouTube, but I don't think it is a big deal
Outside Providence (Alec Baldwin does an amazing job)
Pretty Persuasion (The dinner scene between James Woods, Jamie King, and Evan Rachel Wood is great: Family Around the Dinner Table)

1. The Count of Monte Cristo Action, adventure, revenge, and a villian that captivates you (which is what makes a good movie great, i.e. Die Hard). It isn't so long that you tire of it and it isn't so short that it feels crammed in together.
2. X-Men 2 This was way above the level of a normal comic book hero movie. It had the perfect amount of rise and fall in the action. You start off being amazed by the opening scene. And you get some catharsis after the dam busting scene. Just about the right amount of length. Awesome flick.
3. Star Wars- Attack of the Clones I know I just lost some of you here, but sandwiched in between Jar Jar and Darth Vader being a bitch was a really action packed movie. You have to get around Anakin's shitty acting and Samuel L's monotone speaking, but the fights are awesome. Jango vs. Kenobi, the execution scene, the battle, Yoda vs. Dooku. I found this movie quite entertaining.

Those are both great movies, but everyone loves them. They didn't get any Academy Awards (as far as I know), but they will both have huge fans for many generations.
I guess underrated is a pretty hard thing to define though because it can be looked at from so many perspectives (critics, box office, awards, etc.)
