Rob Lowe said when Big Tom died that they would get what they wanted sooner, IIRC. So I'm guessing they were just going to wait for him to die.

How/Why did Big Tom build an entirely new brake factory without the capital to turn the machines on? That was dumb decision #1.

Love the gif fest and remembering all the bits from this movie, but to answer the OP:

When Big Tom died, he presumably left shares to both Beverly and Tommy, his heirs. It might have been 50/50 or a different split, it doesn’t really matter because Tommy immediately put his shares up as collateral to the bank for the debt of the brake pad division, in an effort to buy time for the sales trip where he could secure contracts to pay back the loan. He failed to due so by the deadline, so his shares were relinquished.

Either Beverly or the bank were the controlling stakeholder at this point, and they were aligned on the sale to Zalinsky. When Tommy revealed the illegal marriage, he took over the shares that were erroneously inherited by Beverly. By securing the contract with Zalinsky, he locked in the funding to repay the bank and convince them that Callahan was in good hands, leading them to agree to the cancellation the sale.
