They can offer him a lump sum that isn't reduceable and doesn't bind him to look for new work. Basically a pure severance payment.
So he takes 40% and effectively retires.
Otherwise, he's going to get a new job and that salary will offset the money anyway. May not be as large of an arbitrage.

The contract may have a clause requiring Kelly to seek employment elsewhere. They could agree to waive that in exchange for a lower payout.
