Are people conflating a buyout payment clause they had with the former board, with their shares? I've never heard anyone describe the proceeds from the sale of stock as a golden parachute.

Safe to assume that Musk & his high powered attys know what they are doing, right? When it comes to business transactions, Musk never just fires from the hip, takes wild shots. Perhaps this is a ploy to open the door to negotiated settlements with each? Take less & I'll drop these accusations?

In the super-charged universe of Silicon Valley M&A activity, the language governing change-of-control provisions for terminated executive's compensation will be fairly standard and clear cut. The executives have lawyers too, and that contract language will be more or less airtight.
Musk has a very high bar to clear when invoking a "for cause" showing to deny the fired executives the compensation he agreed to at closing.
If you're an attorney (I'm not) with access to the controlling legal documents in this case, you'd have a basis to judge the probability of the eventual outcome.
The affected executives will say "see you in court" where they're very likely to prevail. I'm sure with Musk's money that could drag out for years, and perhaps is his goal.
