Chevron said it would buy Hess in an all-stock deal worth $53 billion, in the latest sign of consolidation in an oil-and-gas industry flush with cash.

The U.S. energy giant said buying Hess would upgrade and diversify its portfolio, adding a large oil asset in Guyana and bolstering its U.S. shale operations. Chevron also highlighted the attraction of Hess’s assets in the Gulf of Mexico and its natural-gas business in Southeast Asia.

The deal comes at a time when oil-and-gas companies are flush with cash after energy prices rocketed in the wake of Russia’s invasion of Ukraine.

Exxon Mobil earlier this month struck a nearly $60 billion agreement to buy Pioneer Natural Resources in the largest oil-and-gas deal in two decades. Both Exxon and Chevron have also agreed on smaller transactions earlier this year.

On Monday, Chevron Chief Executive Officer Mike Wirth said the deal for Hess would position his company to strengthen its long-term performance and further enhance its portfolio. The combination is also expected to achieve cost synergies of around $1 billion before taxes within a year of closing, the company said.

Chevron said it expected the Hess deal, which needs a green light from Hess shareholders as well as regulatory approvals, to close in the first half of 2024.

Hess isn't the same company it was 20 years ago. In the mid 1990's it owned the largest refinery in the world, at St. Croix. It owned refineries overseas and it owned a refinery consisting of only a 75,000 BPD cat cracker and downstream units in NJ. It was completely out of any refining by 2015 when all refining was shutdown and being demolished except St. Croix and only because the government won't let anyone do that to facility in bad disrepair.

Chevron was receiving as much of that crude oil from the Liza FSPO offshore Guyana as much as Exxon was. Exxon was shipping to Baton Rouge and Chevron to Richmond (SF) CA. Then Europe started buying.

Interesting all the big players in O&G are throwing huge money to double down on petroleum while the Democrats and bankers are trying to mandate the 2030 clean energy / climate change agenda.

Sounds to me like they got a handshake wink and a nod that the bilderburg crowd is going to back off for awhile and the big players are consolidating their holdings with all the money they’ve made with Russia off limits the last two years.

My son loved those Hess trucks when he was little. Those were the most detailed large trucks he had, probably had a dozen. They were super cool.

Is fracking / drilling up now days ?

When you drive by Halliburton on I-20 in Shreveport their yard is "full" of trucks and equipment which usually indicates things aren't going great.

I’m sure the economics behind this are more complex than I care to understand, but it certainly rubs me the wrong way that while the majority of US citizens struggle to keep up with inflation, the big corporations always have a reason to be “flush with cash.”

They’re supposedly buying Marathon and/or CrownRock. Their strategy might be get “too big” to be bought.

North Louisiana/East Texas isn’t as active as it used to be. Their locations in West Texas are busy.
