A tough decision but tip of the iceberg for companies that doesn’t have hedge funds or mutual funds as shareholders. And probably good. Warren Buffet takes a reasonable salary. The salaries paid to middle and upper executives are what drives prices so high. They can live on 450k just like doctors can.

Im thankful for Elon’s past contributions (i got into TSLA in 2016)- but at this point he needs to just go run his social media platform, whatever he’s calling it these days, and let someone run Tesla who’s more focused and less prone to public histrionics and chaos .. and yes i realize Elon gives zero fricks about what i think, im only speaking as a stockholder .

Well there's 500 fortune 500 CEOs in the country and probably a couple million MDs. Pop stars and elite athletes could live on 450k a year too buy why would they want to.

Not going to argue that the sum seems high… the reality though is that Musk is Tesla and he is a major capital asset who’s value is the judgment of the Board and then voted on by the shareholders.. the mere fact that the opinion is 200 pages bares out the motive pretty clear because if the opinion was rooted in fact that the Board misrepresented the facts to the shareholders then the opinion wouldn’t need to be so lengthy. This reeks of activism from the bench.

Elon’s ventures are a large reason why Tesla trades at an uncharacteristically high PE. I have zero doubt without Elon running Tesla, the shares would be priced as a normal auto company. No one they bring it will be able to grow, integrate and expand the way Elon is able to do. If you think otherwise you’re just delusional and I’d like to see your shortlist of leaders who would do better.

All companies that were very well established with their original founders still at the helm. Tesla is still growing exponentially, while trading at an exorbitantly high PE, and still finding its footing. In other words, it’s still quite early in the company’s history, letting Elon walk now would be a death wish (welcomed by competitors).

Sounds like the judge ruled that the board misled the shareholders.
A board’s fiduciary duties are to the shareholders. If the board misled them, that’s a huge problem and the vote should be nullified.
