Texas Court Issues Temporary Injunction Nationwide on BOI Reporting Requirements

Texas Top Cop Shop, Inc., et al. v. Garland, et al., Case No. 4:24-cv-478 (E.D. Tex.). The Court held that the CTA—which would have required an estimated 32.5 million companies in the United States as of January 1, 2024, to submit sensitive information regarding their “beneficial owners” (BOI) to the United States Department of the Treasury’s Financial Crimes Enforcement Network (FinCEN) by January 1, 2025—was likely unconstitutional and that its implementation would irreparably harm reporting companies if they were forced to comply. The Court enjoined the CTA’s enforcement nationwide, specifically stating that neither the Act nor its related regulations may be enforced, and that “reporting companies need not comply with the CTA’s January 1, 2025, BOI reporting deadline[.]”

To begin, the Court entered only a preliminary injunction, which it could theoretically reconsider at some point in the future. The more likely next step, however, is that the government will immediately appeal this decision to the United States Court of Appeals for the Fifth Circuit. A further appeal could be taken to the United States Supreme Court. But unless a court specifically dissolves the Texas Top Cop Shop injunction, companies will not be required to comply with the CTA’s reporting requirements.

Everyone's CPAs sending out emails scaring their clients about fines and offering to do this for their clients for $250-$500. I had a feeling it would be blocked.

Maybe but I haven't heard about this elsewhere, only from people asking for money to file it.

Ours asked for $1,000!
I looked at it and it is maximum 20 minutes to complete the form if you have your partners information handy.

We sent out emails to all clients earlier in the year letting them know about it. We would be a crappy firm if we didn't. We would also get hell from those clients if they received a notice in the mail about penalties for failure to file and we had never mentioned anything.
I also bring it up to clients while in a meeting or on the phone. I tell them the process is very simple and I can send them a link that takes them to the website to do it themselves. About 90% of the time, I get "Nah, I'll just pay you to fool with that."
We are busy enough without this simple compliance nonsense.

I agree with firms doing this but did the government ever send a notice of some sort? Maybe I just missed it.

There is not a single CPA I know that wants to do these filings. Yes they are relatively easy but this is the time of year for planning and taking sone time off. That’s one reason they are charging so much.
Other attempts to shoot this down have failed, so this likely to end up at the USSC.

So what happen in the worst case scenario that the USSC allowed FinCen to indeed make BIOR happen? does that mean everyone that didn't register after the injunction would be automatically hit with a 10 thousand dollar fine AND 591 dollars for every day since the original deadline?
Curious about this, I was going to do it but saw this at the last minute before I did.

Cool thank you, yeah i don't think BIOR falls under tax advice. it more like... paperwork advice like they trying to make BIOR like a EIN or something.

You need to check your emails then, I was getting emails at least weekly for the past 2 months or so to do it.
They look somewhat scammy, like the bullshite sent from the companies that offer to do your LLC refiling for $250. But if you have an EIN I can promise you they were sent.
