Announced the pricing of cash repurchases totaling about $296.5M of its convertible senior notes due 2032, including $46.5M of its 4.25% notes and $250M of its 2.375% notes.
The company also plans to issue about 6.3M shares of Class A common stock to noteholders participating in the repurchases through two registered direct offerings, in each case at a price of $96.92 per share in cash.

With this series of transactions, AST SpaceMobile will issue around 1.15M incremental shares to the underlying shares of the existing notes being repurchased while removing ~$300M of debt from the balance sheet and ~$51.4M of remaining interest.

After giving effect to the repurchases, ~$3.5M aggregate principal amount of the 4.25% convertible notes will remain outstanding and $325M of the 2.375% convertible notes will remain outstanding.

In a separate announcement, AST SpaceMobile (ASTS) priced its previously announced private offering of $1B of 2.250% convertible senior notes due 2036.


So, essentially a 3% dilution. They had 3 private offerings last year. It will recover.

Looks like Amazon hit 'em again in a different way as their latest satellite was launched into the wrong orbit by one of Bezos' rockets.

For anyone still holding, they just received full commercial approval from the FCC for their 248 satellite constellation. Should be a nice catalyst for a bounce back. I just limped in with 25 shares to see what happens. LINK

The unsuccessful launch of BB7 and lack of launches YTD is keeping this near the 200-dma, and rightfully so. The satellites are there…just need to get them in space. That’s the execution part that is obviously missing.

Still holding on to hundreds of calls…most of them expiring in January or December of 2027. Thankfully, the majority of them are deep in the money. I think SpaceX IPO will lift us some, but we will not get a meaningful jump in share price until the next SUCCESSFUL launch AND a quick turnaround successful launch and deployment. I don’t see them getting 45 satellites by EOY, but if they can launch 25, I think momentum will be kind.

The definitive agreements with MNOs and government contracts are not going away.
