The board of Warner Bros. Discovery said Thursday it has determined that the latest offer from Paramount Skydance is a “superior proposal” to its existing pact with Netflix. The move sets off a four-day clock for Netflix to make a counteroffer to the nearly $83 billion deal that it reached with WBD in early December.

In a statement Thursday, WBD said, “WBD has notified Netflix of its determination that the PSKY proposal constitutes a ‘Company Superior Proposal.’ Under the terms of the Netflix merger agreement, this notice triggers a four business day period during which Netflix has the right to propose revisions to the Netflix merger agreement so that the PSKY proposal would cease to constitute a ‘Company Superior Proposal.’ Following the conclusion of this period, if the Board determines in good faith, after consultation with its independent financial and legal advisors, that, after considering any revisions to the terms of the Netflix merger agreement proposed by Netflix, the PSKY proposal continues to constitute a ‘Company Superior Proposal,’ WBD would be entitled to terminate the Netflix merger agreement.”

I don’t love paramount, but I would rather they own WB than Netflix.

Netflix is having some political issues right now with Susan Rice, who's on the board, saying some nasty things about Republicans. They need to be on the Trump administration's good side if they want the deal to go through.

Cool. So, instead of the company that race-swaps English nobility and promotes soft core child porn, we'll get the people that brought us Star Trek Discovery and sellout communist South Park.

Again, Ellison didn’t own the company when that was created

What are they going to do, say his show sucks that’s airing on their network?

They’re the same shareholders driving all of it (Blackrock, etc).

Netflix has the right to match and will. WB is using Paramount to milk Netflix.

Keeping Netflix's Obama/Rice sphere of influence as limited as possible is the most important aspect of this merger going Paramount's way.

Looks like it's official, now Netflix has to respond.

Warner Bros Discovery Board Calls Paramount’s Proposal “Superior”, Gives Netflix Four Days To Up Its Bid

quote:

UPDATED with Paramount comment. Warner Bros. Discovery’s board of directors is ushering in a bidding war between Paramount and Netflix.

The board announced Thursday that it has officially labeled Paramount’s latest $31-per-share offer a “company superior proposal,” a term with specific procedural meaning in the context of corporate mergers. Importantly, the description does not mean that the board has withdrawn its recommendation of Netflix’s pending offer to shareholders. However, the move does trigger a four-day period during which Netflix can respond.
