In general a MOU is not legally enforceable. However, if an MOU includes all the elements of a valid contract—such as an offer, acceptance, consideration (like an exchange of money), and a clear intent to be bound—it may be treated as a legally binding agreement.

And this supposed to be bad news? Although I’m not a Kiffin advocate, I don’t think that memos of understanding are really relevant in this kind of service contract. Something like this can go from a wink and a nod to contract pretty quick.
