Poison pills have been around for decades as a strategy to prevent hostile takeovers. In recent years, Occidental and Netflix both used them to avoid takeovers by Carl Icahn.

The only issue I have is why would the US government need to run all the infrastructure?

Just backdoor for whatever info you need. (which is what they do)

Also, plenty of whistleblowers, around the world, would have already seen this.

No need to adopt the poison pill yada yada yada. Just hold the vote, say Elon lost. It's just like an election.

Poison pills as an existing corporate resolution prior to a tender offer are fine.

I am pretty sure putting one in place in response to a tender offer is no bueno.

Ah OK, I see what you’re saying now. I don’t really know whether that’s problematic or not, but I would note that the poison pill typically doesn’t apply to any takeover that’s approved by the board or a vote. So I don’t think they can use it to skirt their fiduciary duties - it just makes it harder for Musk to amass a larger hostile stake.

It appears a lot of people arguing the shareholders are screwed don't understand how a poison pill works. Whether a flip-in or flip-over the key for the non-targeted shareholder (in this case Musk would be the targeted shareholder) is that the shares are sold at a discount. Either option is a way for current shareholders to potentially make lots of money.

That’s an interesting take. I think the simplest explanation of they just want to control is more likely. Either way, I’m excited to see what else this brings. Even if Elon doesn’t get control, the fact that he’s throwing around his frick-you money to expose shite that doesn’t smell right is fantastic.

This has become painfully obvious. There are much bigger issues here than just social media. Dominating the narrative is paramount when controlling free speech and defining your speech as the only speech that is truly free.
