I really want to see the company take off. I want to see the dynamic change. The "on the verge of greatness" deal has been fun, but I'd like to see something else done. It's close to getting stale IMO. I want to see them have a ton of money to play with. I want to see how they deal with suddenly having a massive company. I'd like to see them have to deal with a small start up that is a thorn in THEIR side.

This has been foreshadowed a bit by Gavin, there was a scene where he tells Richard that at one point he was in the same position and the company will either outgrow his ideals or fail.

I'll admit the underdog roller coaster plot approach is getting a little played out. Only so many times I can get invested in a crisis to see it resolved in the next episode. I don't think they need to go full blown empire, just something besides "oh no the company is about to fail!!... tune in next week for the dramatic conclusion."

I would assume that his shares were paid out pro rata of the $1M + $1 that PP was sold for. It was voted on by the board so minority SH's couldn't block it. Wouldn't be any different than any other sale. Once voted on, his shares represent a fraction of the $1M that was paid out.

I don't think this part is that confusing, but agree that the other parts of the funding are hard to keep up with and don't necessarily add up. I do believe this is deliberate, and is a play in all the stories you hear about tech companies, and how founders can get "screwed".

All that said, $1M deals don't typically go through in one day : lol:

great finale. so many hilarious lines.

Jared with the "yes, but for normal reasons"

and then the end when Erlich says "im going to let him have this one"

those both killed me

Erlich saying it will take a long long time to regain his trust straight into a scene of always blue was awesome.

Erlich. This is you from the future. I'm old and ugly. And dead.

and the board knows who they're selling to before they vote

Because they're entitles to recoup their original investment and terms before anyone else gets paid. That amount is more than 1 mil, so they get all the 1 mil.

That was clearly explained

This

kinda like what happened to Elizabeth Holmes and Theranos when Forbes down graded her Net worth from 4.5 bil to zero

She has a 50% stake in Theranos, but the way her stake is set up is that in the event of a sale of the company, the VCs get paid out before she gets a share of the sale amount

so if the VCs have put in $500 mil and the company sells for $400 mil, she doesnt get $200 mil, the VCs get to split up the $400 mil before she gets a dime (i dont know what the actual numbers are for Theranos, just using those to make it easy)

Speaking of Theranos, I like that Silicon Valley took a shot at them last night:

Jared: “This is fraud,”

Richard: “Is it? I mean, our platform does exactly what it says it does. It’s not like we’re lying about it, like fricking Theranos,”

this show always makes me want to brush up on my M/A and corporate law, b/c a lot of stuff they use for moving the plot or creating conflict just don't seem to add up, like the liquidation thing this episode. i need a corporate guy to explain to me how richard loses all of his interest in the company when it's sold to another. i guess they sell 100% of the shares and he just doesn't get to recoup anything until the VC get paid back

also i think Richard (as CEO) would have stink but not the company. their products/IP are still worth something

at the very least they could compete in the "box market"

Founders usually get their stocks as common shares. VC investors get preferred shares which are higher in the capital structure. In a liquidation event, debt holders cash out first followed by preferred shareholders. Common stockholders are the last in line to get anything.

I want to bump this because I feel like that awesome season finale didn't get enough discussion.

Who was the best character this season? I think Jared has gone from worst to first in this show for me.

He was fricking incredible this season.

How can anyone at any point in time of watching this show think Jared was worst? Dude has killed it since his very first scene.

All characters are great, so it's almost impossible to pick a favorite. They each offer their own uniqueness, and they blend perfectly together

Holy shite I just realized Jin Yang is Tang See, the Asian lab assistant from my favorite episode of always sunny when Charlie devises a way for spiders to talk to cats, learns fake Mandarin Chinese, listens to books on tape and dumps the waitress

He was still the weirdo from The Office at first to me and it took me a couple episodes to learn to love him.

But I don't think you can argue that, regardless of how you felt about him at first, he has been at his best this past season. God he was awesome this season.

I can't speak for everyone, but if I had to guess I would imagine that at FIRST (as that poster said) they may have disliked him from his time at the office. Which I can understand. Often times, whether I mean to or not, I'll form an opinion of someone based on previous work.

But yeah...it was apparent pretty quick that Jared is awesome in SV. Oh, and he fricks.

His best moment was season 1 finale where he was high on lack of sleep trying to run focus groups in the streets outside of the conference.
