Ellison told Paramount senior execs last week that he’s prepared to relocate Paramount (and Warner Bros., too, if the merger successfully closes) if Bonta does not agree to negotiate a settlement in the case, sources confirmed to Variety. Ellison said the company will begin the process of exiting California starting Oct. 1 in the event that such talks have not started, and he told his team the Paramount Skydance board has approved the move.
Bonta has not publicly said what concessions from Paramount-WBD he would consider acceptable enough to take the lawsuit off the table. But the Democratic attorney general has said any remedies would need to be “structural” (i.e., divestments) rather than “behavioral” (e.g., imposing certain production quotas). Variety has reached out to the California AG’s office for comment.

I am convinced that Ellison can get these states off his back with one announcement - "Existing CNN leadership will remain in place and Bari Weiss will have no authority over CNN." I think David's boomer dad really screwed up when he promised Trump they'd make make Trump-friendly editorial changes.
From a business perspective, why wouldn't you throw Bari Weiss under the bus to get this deal done? Show me the data that proves she's some special talent and not a just a frumpy lesbian with some contrarian views who can't manage anything larger than a blog?

The reason Paramount wouldn't do this is it's completely unnecessary. There is no legal reason to block this purchase. Ellison holds all the cards here because the states WILL lose if this goes to trial. Their only chance to get any concessions at all is to meet with Paramount to settle.
The other problem the states are going to run into is they can't come out in negotiations and say this is what they want. Would be a tacit admission that they believe CNN is on "their side." That would be worse than whatever future for CNN you seem to believe is going to happen with a Paramount takeover.

That’s not how it works.
Studios don’t have thousands and thousands of employees anymore.
Paramount has fewer than 18,000 employees worldwide.

For purely financial reasons that probably happens no matter what the legal outcome
It's become too much cheaper and easier to do business elsewhere
And California being a functional single party state makes errors in governance pretty rarely punished.

Directors guild penned a letter supporting the deal if they make some reasonable commitments about theatrical releases and streaming etc
Of course the state AGs won’t listen because this is all for show to cost paramount money. Wouldn’t be happening if it was Netflix

The proposed merger, the largest in Hollywood history, would combine two of Hollywood’s five major film distributors and two of the five major basic cable channel owners.
You might not care, but there is a legal reason to block. Sell off some things and it shouldn’t be an issue legally. Of course this was never about being a legal transaction. I’ll stop there.

No, there is no legal reason to block this merger. You are wrong. Paramount would win any legal challenges. The only reason for Paramount is settle is time and legal costs.
From a legal standpoint, there is no difference between Paramount purchasing WBD and Netflix purchasing WBD. "Two major studios" combining is meaningless language devoid of legal basis.

The first point on the DGA IATSE list is dumb. Why merge if there is no savings there?
The last point about remaining to be based in Los Angeles is stupid too. The studios are supposed to bleed money and be held hostage?
DGA and IATSE are smart in wanting to get this settled quickly becuase uncertainity and a lengthly delay will result in the demise of both studios.
