Hostile takeover time?

Activist investor Nelson Peltz and his firm, Trian Partners, are seeking two seats on Disney's board, CNBC reported Thursday, setting the stage for a proxy fight.
The news came the morning after Disney added Morgan Stanley CEO James Gorman and former Sky TV boss Jeremy Darroch to its board, a move widely seen as a bid to fend off a potential challenge from Peltz.
The activist investor had been waiting to see what happened with Disney's earnings report earlier this month to decide whether to make a move, CNBC previously reported. Trian oversees more than $2 billion in Disney shares that belong to former Disney executive Ike Perlmutter, a critic of Disney chief Bob Iger.
Disney shares are up about 6% this year, far underperforming the S&P 500.

Disney has been fine with shoving things in through the back door to this point.
They just don’t like it when it is their back door getting penetrated.

Like I said in the other thread, Disney doesn't want to change. They don't think their content is the problem, they think YOU are the problem. YOU are the bad person who needs to change and realize how wrong and stupid you are.

well he got stabbed in the back by Disney around 2019, after helping develop a cash cow with Fiege so I can't blame him.

Can you expand on this for the uninitiated?

Perlmutter was the former owner of Marvel comics.
He had very good instincts of what fans wanted and Was keyb in developing the early MCU with Feige and making it into the global juggernaught it became due to sticking (mostly) to the incredible storylines and chacarters that guys like Lee and Kirby made in the glory days of Marvel Comics.
In 2019, Disney restructured and cut Ike out of all things creative. He was basically just a body there and was later canned by Iger after having no power for years.
Ike wanted to stay with the tried and true comics backbone but Iger and Disney wanted to go full retard Marxist, Ike was sidelined, but he still owned all that stock from his original sale to Disney, so he wasnt all gone.
Peltz took over all of Ikes stock they are buddies who have has the same views about the company (cut out the Marxist cancer) and now Peltz is trying to get 2 seats so one is a defacto Ike seat, even though he's like 90.
This is all an attempt by Peltz to take over the board and force Disney to svw itself, and the rest of the board are trying to counter that.

Well, as long as you're not invested in the company, why does it matter...
The company will either correct itself or fail.
I suspect their proxy fight isn't going to be successful as well as most institutional investors tend to be fairly wary of proxy fights.

thanks for the explanation. didn't see the question after my OP.
Iger/Chapeck F'd him over after handing the keys to a billion dollar kingdom.
If you want to see some revisionist history, see this article.

Feige, the architect of Marvel’s transition from a flailing comic book company into a film powerhouse that was sold to Disney for $4 billion in 2009, is said to have vented his unhappiness to Horn and Disney CEO Bob Iger earlier this summer. The reorganization was put into effect last week, according to sources.
i've got nothing against Fiege, but to pretend like Perlmutter's hands weren't all over the MCU from 2008-2019 is insane and a huge part of what made it so profitable. his micromanaging made everybody billions while DC was unable to get butts in seat for the first Superman/Batman movie or the justice league.
also if you ever want an interesting read, see Perlmutter's legal problems where he and his wife were accused of violent threats but exonerated through the innocence project.
he's actually a huge backer of the innocence project now because of what they did for him.
