The real question is, did she and Rob Lowe somehow poison big Tom or was his death just a blessing to them for her to get his stake quicker? If he hadn't died, she would have had to stay married to him and just have Lowe hanging around keeping up the brother/son act for years to come.
Rob Lowe said when Big Tom died that they would get what they wanted sooner, IIRC. So I'm guessing they were just going to wait for him to die.

There's two types of smarts, book smarts, which waved bye-bye to you long ago, and there's street-smarts, the ability to read people.

How/Why did Big Tom build an entirely new brake factory without the capital to turn the machines on? That was dumb decision #1.

Love the gif fest and remembering all the bits from this movie, but to answer the OP:
When Big Tom died, he presumably left shares to both Beverly and Tommy, his heirs. It might have been 50/50 or a different split, it doesn’t really matter because Tommy immediately put his shares up as collateral to the bank for the debt of the brake pad division, in an effort to buy time for the sales trip where he could secure contracts to pay back the loan. He failed to due so by the deadline, so his shares were relinquished.
Either Beverly or the bank were the controlling stakeholder at this point, and they were aligned on the sale to Zalinsky. When Tommy revealed the illegal marriage, he took over the shares that were erroneously inherited by Beverly. By securing the contract with Zalinsky, he locked in the funding to repay the bank and convince them that Callahan was in good hands, leading them to agree to the cancellation the sale.

If he was smart he wouldn't have left it all to Tommy

As the screenwriter on Pitch Meeting would say, “So the movie could happen.”

Are we to assume that Big Tom Callahan left it all to her in his will and left nothing to his only beloved child, Tommy?
What? Tommy got half the company. He put his share up as collateral to get the loan from Mr Rittenhour.

They say how happy they are he died because they thought it would take years to bleed the money out of him in a divorce.

Dealing with a sales coordinator that has been there forever, has a system no one else understands and blames someone else when it all goes to shite is the most related workplace drama in movie history
