Elon Musk threatened to terminate his deal to buy Twitter Inc. TWTR -5.40%? in a letter accusing the company of not complying with his request for data on the number of spam and fake accounts on the social-media platform.
Mr. Musk said Twitter has refused to provide the data necessary for Mr. Musk to facilitate his own evaluation of the number of spam and fake accounts. In April, Twitter accepted Mr. Musk’s $44 billion bid to take over the company and go private.
In a letter to Twitter Chief Legal Officer Vijaya Gadde, Mr. Musk’s lawyer Mike Ringler said Mr. Musk is entitled to the requested data, in part so that he can facilitate the financing of the deal.

“This is a clear material breach of Twitter’s obligations under the merger agreement and Mr. Musk reserves all rights resulting therefrom, including his right not to consummate the transaction and his right to terminate the merger agreement,” he said.
Representatives for Twitter didn’t immediately return a request for comment.
TL:DR - Twitter may have mislead shareholders, regulators, and investors on just how much of their user base are bots that are used to amplify certain messages.
Some estimates are that 20-30% of twitter "users" are actually fake. Twitter reported that only 5% were.
Musk kicked over a rock and the cockroaches are scurrying and trying to find cover. DOJ would never bring charges against a Dem-friendly group of directors on twitter's board. But SEC fines might be a reality.

I would be surprised if this deal actually happens. I hope it does but idk how likely it is to close.

One would think that if Elon pulls out of the deal Twitter would collapse. In a normal deal that would be the case. Twitter is not a normal business. Twitter has the support of the federal government in terms of NSA assets (server farms) propping up their business not only to spy on people around the world but to set narratives.

I think this was Elon's play all along. He wanted to expose Twitter and the leftist lies their bots spew. I don't think he ever planned to actually purchase. 4D chess.

Twitter knows about the huge fake user base and the bot accounts that are used to amplify some messages. And they also know about their codified censorship practices to bury other messages and users. With rose colored glasses, you could say that Twitter "misreported" this to investors and the SEC.
I don't think it's Enron bad yet, but IMO it is every bit as serious as VW Diesel-gate. This couldn't possibly happen at a company without a massive cultural problem.
I think Dorsey knows too, and he has Musk's ear on this.
