Kelly’s Contract Terms RE: Termination w/out Cause

I know all or part of this has been posted elsewhere. Adding to CC Board if anyone is interested and for discussion whether the terms make a move from Kelly more palatable for the money men.
“Liquidated damages under this Section will be paid in equal monthly installments over a period of time equal to the amount of time then remaining in the Term. Should Employee or Company be assessed
additional taxes by the Internal Revenue Service due to a termination without cause, University shall accelerate the payment of such liquidated damages to the extent necessary for Employee and Company to pay any taxes due thereon (whether pursuant to IRC Section 457 or otherwise).”

“Kelly’s buyout could have a similar structure. His contract allows LSU, should it terminate the contract early, to split its total buyout cost into equal installments that it would pay annually until 2031.
LSU could also fire Kelly without having to buy his assistants out of their contracts. All coaches on his staff signed deals with clauses that free the athletic department from paying the full cost of their buyouts either if Kelly is no longer LSU’s head coach or if they leave the program to take other jobs.”

These things just can’t make you not smile, this stupid frick is going to be paid 750k a month to NOT work. I would be sitting in a porch next to a lake drinking a beer laughing my arse off for years.
Coaching is hard and long hours even if you suck, he is completely incentivized to get fired except for his reputation.

Are there any conditions on what kind of "job" ??
Would it have to be in the realm of "head coach or coordinator at a major university" or "TV commentator at a major network" ??
Is there some other constraint on his effort to find equivalent employment ??

Eh…well, yeah, no….

There is no set “search” criteria regarding this statement in the contract. All these coaches have to say is the job openings they’ve seen don’t meet their requirements. But, they searched. ;)

“Duty to Mitigate. In the event of termination by LSU without cause, the amount of liquidated damages owed by LSU under this Section shall be reduced and extinguished by and to the extent of any compensation Employee earns, receives, or is entitled to receive for football-related employment, whether intercollegiate or professional, including coaching, administration or media, from any third party from the termination date until LU's obligation pursuant to this Section to Employee terminates or ceases to exist. Employee shall exercise due diligence and good faith in seeking qualifying employment so long as the liquidated damage obligation exists. In the event Employee obtains such other employment, Employee must notify LSU and provide documentation reasonably requested by LSU to determine the amount of compensation received by Employee and the amount of offset due to LSU.”

“Football related employment…could be coach, media, etc”….No criteria other than that…none. The language is vague for a reason and his lawyers and agent made damn sure of it…as they should. There’s no time limit, minimum searches or anything. It’s a non-starter clause.
