That means they owe more than it's worth. If they didn't and just wanted to sell the truck, they'd give you the payoff amount at worst.

It means they can't afford it anymore and they are trying to stick someone else with their stupid decision to buy what they can't afford.

You don't need to care what it means. You just need to know what the payoff is, what the truck is actually worth, how they intend to pay you the difference, and how do you get your title.
If the truck is worth $10k and they owe $12k, how do they intend to compensate you?
