If I avoid this with standard lithium, it will likely be only because I averaged down so much

I went ahead and sold off my shares at .95 cents. Was there any reason to wait other than that .05 cents difference? Tax reason or other potential benefit? Trying to learn I’ve never had this happen before to one of my stocks

About 1 of 3 things could happen:

1.) the deal falls through and you made out with a lot more than anyone else waits for the $0.05

2.) sale goes through as is and you miss out on $0.05

3.) another bidder comes in and the price increases to maybe $1.10-$1.20/ share

Personally, I’m holding out for that $0.05 with a sell all at $1.20 if somehow it does run up to there

Good summary. Also not financial advice but generally speaking, in a transaction like this one where they publicly announced a strategic process and then announced the transaction, the deal was pretty well marketed so the odds of a topping bid coming in are low.

I agree, but I previously worked for a publicly traded company that announced it was selling and going private (was $15-16 /share prior to announcement, announced sale would make it ~$23 /share). After the announcement, a few other companies apparently came in. They would end up selling to the original bidder but at $30 /share.

It happens but generally not when the process was made public prior.

Tellurian announced they were for sale, 99% of the time you won't see a topping bid.

In the case of your company they probably didn't run a process and only had talks with one buyer, Tellurian ran a process and probably talked to 50 interested parties.

Shareholders approved the buyout and the price is at $1 the sales price. Is there any reason to holdout for another higher offer? If not is it better tax wise to get out now or wait for the sale to go through

Someone may know better than me, but tax wise it won’t matter if you sell
Now or wait for the full sale to go through. Only different is you’d have less gains ($0.9976 vs $1).

I believe it will be settled this week from what I’ve seen elsewhere

I think it is more likely for the deal to fall through, than for a better offer to come in.

And the only thing that could make the deal fall through is some complete black swan type event like an asteroid hitting the facility,.

I ended up selling all my shares today at $0.999 /share.

Would have only been $14 additional dollars to continue holding.
