Business Attorney & CPA Recommendations

I'm looking for a business attorney and CPA (or possibly someone who is well versed in both disciplines) in or around the Ascension Parish area. I know I could easily search the Ole Google, but figured I would reach out to the MT crowd first in hopes of getting a recommendation from someone based on personal experience. TIA

I think it depends on what you are looking for. Troy Villa (or Eric Landry) with Breazeale, Sachse & Wilson are good at business transaction work. They are not in AP, but I don’t think you have to limit the search to AP attorneys as most are pretty fluid nowadays.

From the most general aspect, I am Looking for someone who can review a business acquisition agreement to ensure I am not overlooking anything that could become a liability later on. More specifically, I would like this person to be familiar with Tax laws (ERISA & IRC) as they relate to c-corporations and the ROBS process. I would need this person to also review my business plan and provide guidance to help ensure my plan does not/will not violate any provisions set forth by state, local, and federal governance.

As for a CPA, ideally I would like to find someone who has experience with the ROBS process. Given that this is not a very common situation I know my options will be limited, so just a good reputable local person/firm would be great.

I am in the same boat and have been meaning to start a thread on it.

I have some questions on how to best structure a company I am starting with a couple partners. For both tax purposes and operational purposes. I am thinking an LLC inside of an S-Corp but not sure.

An LLC is a type of entity - S-Corp is a tax status election. Where are you located?

Texas, the reason for the LLC inside the SC is for tax and dividend dispersal purposes. And contractual issues and keeping different segments separate in regards to financing.

Keep in mind a corp distributions and allocations have to be in accordance with ownership.

Partnership you can do special allocations and lot more flexible.

Ah, gotcha. For some reason I thought you were on the northshore and I was going to give you a rec. Re: your post, we may be talking about the same thing, but there is no LLC "inside an S-corp." The s-corp designation is a tax election made by an LLC. The LLC's organizational status or structure does not change. S-corp designations only affect entities from a tax standpoint.

I use to live on the Northshore, in Houston area now. Scheduling a meeting with the CPA tomorrow to get everything rolling. Myself and two partners, will be applying for an SBA soon as well. I need brush up on my accounting and business structures, the grind is about to start.
