The person who got passed over was made his deputy but still had a huge amount of power and pay.

My old boss encouraged active dialogue. If you thought you were right, and he was wrong, no problem as long as you could explain yourself.
However, when meeting with a client, whatever the boss says goes. Had to have a unified front in that case.
