FuboTV Inc. (NYSE: FUBO) and The Walt Disney Company (NYSE: DIS) today announced that they have entered into a definitive agreement for Disney to combine its Hulu + Live TV business with Fubo (the “Transaction”), forming a combined virtual MVPD company. The Transaction will enhance consumer choice by making available a broad set of programming offerings, and is subject to regulatory approvals, Fubo shareholder approval, and the satisfaction of other customary closing conditions.
Under the terms of the definitive agreement, at closing, Disney will own 70% of Fubo. Fubo’s existing management team, led by Fubo Co-founder and CEO David Gandler, will operate the newly combined Fubo and Hulu + Live TV businesses.

Feels like a monopoly would be surprised if this is approved

This is interesting because Fubo and Hulu Live are direct competitors. Doesn't make sense.

addition, Disney has committed to provide a $145 million term loan to Fubo in 2026 as part of the Transaction.
Additionally, a termination fee of $130 million will be payable to Fubo under certain circumstances, including if the Transaction fails to close due to the failure to obtain requisite regulatory approvals on the terms and conditions set forth in the definitive agreement.
Fubo getting a life line for them to drop the lawsuit and make it look like a merger

I would be exiting pretty quickly. I dont see how this is not tied up in legal battles for a while

It's really wild how much money you can make if you are involved in these types of things.
A cousin of someone who wrote up the legal paperwork could have turned 100k into a few million with some options.
Happens all the time.

But it reads like both Fubo and Hulu Live will continue to exist.

Even if they say that now, which they are not really.. It's only a matter of time before fubo itself is killed.. They aren't going to run redundant competing businesses.
Fubo was the lone reason that the streaming sports package couldn't roll out

They were the first to file suit but I thought others had joined in the lawsuit, too.

This is nothing more than a nuisance payoff. FUBOs whole argument (rightfully) is the linear channels first squeezed them with carriage fees and then the VENU sports part resulted in a death blow.
Now the VENU partnership agrees to just buy a business with less than 2 million remaining subscribers to make the lawsuit go away. Even PARA is happy because they will be able to cash out their stake.
