Right. I screwed up. Original owner is at 9%. Also has nothing to do with company. If I told you all how the deal went down , you would all laugh. That's besides the point. I just wanna know what kind of things a minority owner (40%) can legally do to get the jackass majority owner to be junk about the way he's doing business. Is there a legal way (call an audit) she could get the guy to walk the line without setting herself (who does everything by the book) up for trouble with the IRS , OSHA, etc?

The company(or prior owner was in extreme financial trouble) was sold for pennies on the dollar and that's why the sale happened. Her and her partner had become th been employees for years prior to the sale happening. It's a clusterfrick , I'm aware of what that. I'm just asking what a monitory owner is legally able to do when it comes to questioning the majority owner on his decision making.

Read the Articles of Incorporation (or Partnership). In most cases anything greater than 50% is controlling. In some business/tax cases you'll see instances where a 50.1 share of a company is worth 4-5x's more than a 49.9% share because of the control premium.

This is what I wanted to know. I've thought , and told her , that after 3 years (it's been over 2) she should have the business audited. Everything she has done has been on the up and up so she would come back clean and in line. Not so much for the other owner who spends company money in raising his kids , vehicles , thousands and thousands of dollars on company CCs for personal shite. I'm just afraid to go that route if it means that everyone owner goes down even if it's one owner being crooked.

We were in Honduras ........I didn't want the shirt to look like shite with sweat all up under my arms. The shirt? She had just bought it for me , so I wore it. One day you'll get off of TD long enough to have a girlfriend and you'll understand that you , sometimes , do things to make your girl happy. It's give and take. We're pretty fricking happy with each other and I don't mind doing things here and there to keep it tat way , nor does she. It's called being a grown up, Walt! But don't leave the basement too soon as I enjoy you as a poster on TD. One of the very few trolls I do get a laugh from every now and then.

Yes. I know. She resists this avenue because she'd rather sit back and let everyone be happy and get along than make sure the company is in good shape. That's kinda why I asked. Is there something she can do , without a lawyer , to shake up the majority owner or is it plain and simple like it sounds. Majority owner: calls all shots! Minority owner: deals with! Want change. Think somethings not right: Hire attorney!
