Fully guaranteed is for injury, skill, and cap reasons. A player cannot be cut and lose his money for those reasons (now there still may be some conduct clauses that give teams an out).
Most of the time the remaining guarantees are for injury only, meaning you cannot cut that player to save money if he is injured. But if he is healthy and you cut him for cap or skill reasons, then the player doesn't see that money.
There are also clauses that state a portion or the remaining amount of guarantees become fully guaranteed in the 2nd and/or 3rd year.

He was giving him about 33 mil a season on avg, the hangup was about the amount of money he would be guaranteed I believe.
