I don’t know which is why I posted without commentary
ETA: I sold half my position earlier today at .28 as a hedge. I’ve also canceled my tender on the other half and might sell and take my gains.
Eta2: my getting out probably insures the deal will go through for those that hold.

Essentially there have been rumors floating about the veracity of one of the insurance forms submitted to the SEC and questions whether the lender, Uniexpress Holdings is legitimate.

The insurance form wasn't legitimate. I talked with the insurance company in Germany after the form was filed as a supplementary document with the SEC and the insurance company confirmed it wasn't real. There was also a nonsensical loan payment schedule in a filing a few weeks earlier (after a realistic one had been filed previously) so either those supplementary documents were a horrible attempt at subterfuge or somebody new at Uniexpress who didn't know what they were doing did a shitty job putting them together and maybe didn't realize they were going to be filed publicly.

What's confounding about all of this is that so much also points to Viston's offer being legit. They've persisted through the CFIUS process, which is voluntary, and I've talked with a couple of Directors at Petroteq, including a conversation a couple of weeks ago with a Director who had been skeptical about the deal in April but who now seems very engaged with Viston in preparation for the buyout.

Too many unknowns for my comfort level. It feels a bit scammy in the way it has been approached. I’ll just take my gains and regret it later most likely.

You're doing the smart thing if you're that uncomfortable with it.

This is what you get with the OTC. Questions about legitimacy and emotional rollercoasters tend to come with the territory.

You are right. From my understanding, no one has been able to confirm the funds are available. Uniexpress is a relatively unknown London “bank” with ties to Turkey. RBS allegedly confirmed the Uniexpress funds, but when asked would not comment on it. A forged insurance document said to guarantee creditworthiness and a stock price that does not reflect an expected close of the deal was just too much for me.

All of this may be easily explainable or I may have just missed an already available explanation, but I’m too conservative to let it ride even with a relatively small amount on the line.

CFIUS decision should be interesting. I don’t think they evaluate legitimacy, only effects on national security. This thing could still pop next week on CFIUS approval even if the deal ultimately doesn’t close.

CFIUS only scrutinizes financing if it comes with a stake in profits or some kind of governance rights or if those conditions are imminent and they don't seem to apply here.

CFIUS approval is not a done deal either. There are two unknowns looming.

Interesting note: I untendered and sold all of my remaining shares just before close yesterday. Everything seemed fine. I log on this morning and it is showing both that my sale went through and that I still have tendered shares. Fidelity

Guilty. I wanted to believe in this deal, but I lost all faith. I hope for you guys that I regret my decision.
