Facebook, Inc. is offering 180,000,000 shares of its Class A common stock and the selling stockholders are offering 157,415,352 shares of Class A common stock. We will not receive any proceeds from the sale of shares by the selling stockholders. This is our initial public offering and no public market currently exists for our shares of Class A common stock. We anticipate that the initial public offering price will be between $34.00 and $38.00 per share.

Facebook will get the cash for the 180 million shares they sell (180 mill * 38). The will get nothing for the shares the shareholders sell (157 mill)

I have clients calling left and right about this stupid stock. Is it anything more than a cash out event? What am I missing? The company doesn't need an infusion of cash. The money has been made. This is purely a liquidation of sorts.

Everyone I know wants to ask me about this turd of a stock and when I tell them it's a turd, they want to argue with me, despite having no basis.

I sort of want to buy some as soon as it hits the market, make 5-10% then dump it.

Not everyone will have the discipline to cut bait at 5-10%

Sure, why not, I have no idea. I really can't wait for this thing to IPO. Its the financial nerd equivalent of a lunar eclipse.

So, Facebook stands to raise roughly 7 billion from its IPO?

And is there anything relatively atypical about this IPO in comparison to that of other tech IPOs?

They company is 10 years old, is being priced as if its about to hits its growth stage, and will IPO with the highest valuation of any IPO ever. Other than that, no its the same any other tech IPO (and the vast majority of all IPOs in general nowadays), which is a cash out event (and there's nothing wrong with that at all).

I really think this is one of the best IPO's to ever come out as far as sex appeal. Everyone is gonna want to own it regardless of what everyone thinks.

My personal thoughts on the situation is that a good amount of the general public is looking to get into the stock while the investor savvy people seem to think it's overvalued and are looking for a quick buck then dump it.

My completely ignorant and zero basis projection: Opens at 37.5 peaks at 40 and ends the day at 35.

I'm curious what Facebook's plan is to increase their revenue 10 fold and warrant the share price.

Pretty much what I have been complaining about recently. I don't see the special appeal to this stock.

Stupid media buzz.

Based on what I've read the general public is shut out on the IPO. Only the usual suspects will get in (Goldman Sachs, Morgan Stanley) and 30ish others.
