I know it was a popular meme stock earlier in the year that has been on the verge of delisting and crashed in October when a merger didn’t happen.

It appears they finally have a merger deal with an electric car company Cenntro and will be acting as a SPAC by taking them public

LINK

quote:

At this point it's unclear if Naked will effectively cease to exist or will continue making lingerie, but it will cease operating under its own name, taking Cenntro public in the process, almost as if it were a special purpose acquisition company (SPAC). Here's what it could mean for investors, with the move potentially bullish if Cenntro can live up to its growth goals.

quote:

Naked appears to finally have a firm commitment to a merger in its current pact with Cenntro Automotive. According to the details of the deal, Naked will buy out Cenntro using a stock-for-stock transaction before the end of 2021. The resulting merged company will have the name Cenntro Automotive Group, and current Cenntro shareholders will own a 70% stake in the combined entity, giving them a controlling interest above the 30% held by current Naked shareholders. Naked's acquisition of Cenntro is clearly extinguishing Naked as a swimsuit and lingerie company, meaning Naked is acting in a manner very similar to a SPAC and launching an effective initial public offering (IPO) for Cenntro through the merger. Naked is bringing $282 million in cash to the deal, after already providing Cenntro with a $30 million loan to help it ramp up its EV production. Naked will spin off FOH Online, the e-commerce branch of Frederick's of Hollywood that it acquired back in 2018 for $18.2 million, as part of the merger process. Curiously, the new Cenntro will continue trading under the NAKD ticker on the Nasdaq exchange

quote:

Cenntro isn't a household name, but that's because it produces EVs for commercial and municipal use, rather than passenger cars, which typically attract the most media attention. Unlike many smaller EV companies with vehicles that haven't moved beyond the drawing board or hand-built prototype stage, Cenntro is actually manufacturing EVs and selling them to clients in 26 countries. According to information on its website, Cenntro has delivered more than 3,300 electric commercial vehicles to date, which have collectively traveled in excess of 20 million miles. The company expects the following sales and revenue figures for the current year and upcoming years:

quote:

In 2021, 1,500 vehicles delivered, $25.3 million in revenue. In 2022, 21,500 vehicles delivered, $506 million in revenue. In 2023, 74,800 vehicles delivered, $2.1 billion in revenue. These are ambitious targets, with an almost 50-fold increase in deliveries expected within two years. But Cenntro has the advantage of its positioning in a sector of the EV market where skyrocketing demand is expected. A December 2020 market research report by MarketsandMarkets projects a compound annual growth rate (CAGR) of 41.1% for electric commercial vehicles worldwide through 2028. The report notes that the segment generating the highest demand and growth is electric vans, Cenntro's specialty. If this and similar reports are accurate, the company is operating in a specific market with an even higher CAGR over the coming decade than the EV market overall -- where, with passenger-vehicle growth rates figured in, a 26.6% CAGR is anticipated through 2031, according to analysis firm Transparency Market Research or TMR.

Seems like a lot of potential upside and little downside if you want to buy cheap stock with a few hundred bucks. If it fails, you aren’t out much.

Bought 500 shares a few days ago. I was hoping someone would make a thread on it. It’s an EV company at $0.74. I’m struggling to see how this isn’t worth a shot.

Unlike all these new startups. Centro is actually already selling vehicles.

I’m really surprised it’s not surging with the volume it has and the news of the merger

It was kind of the original meme stock and I think a lot of people still think of it that way. It will take time for people to realize that Centro is legit IMO. Whether that’s days or weeks I don’t know. Then again, I’m an idiot.

I don't think anyone is going to take centro seriously under the ticker name of NAKD. Just sayin.

Cenntro announced they were given approval to enter Japanese market.

NAKD currently up. I think this will end up being a winner

Lot of good news on this stock. I think it’s being artificially held around .70 until the offering is closed

This thing really should shoot to the moon at some point. Everything I read points to it being grossly undervalued once the merger is completed

I expect the ticker name to change after the merger. That will shed the meme stock status that goes with NAKD

That seems like it would be confusing to new investors if they’re changing the company name to Cenntro Electric Group Limited

I would change the ticker to CEGL but that’s just my opinion

NAKD just got an order for 2,000 vehicles in Japan. One of the customers is Amazon.

They’ve had great news after great news and still can’t get over that .75 hump and I don’t know why.

Is it being artificially held down due to the offering not being closed? Offering was .65 with Cenntro. Saw this stated on the stocktwits thread but not sure if that’s even true I don’t understand how these mergers work. With the news and the large volume it seems it should be skyrocketing towards 1.00

Also a valuation hasn’t been completed yet. Really hoping the price can get high enough to avoid them having to do a reverse split. Can anyone explain more in depth to me how all this works and why it just hangs around between .65-.75 no matter what news comes out, good or bad

Its heavily shorted daily for one thing. Also, there will most likely be a reverse split. The terms of the merger include NAKD trading at $5 per share for 5 consecutive days before the merger.

Why would they continue to short it? Seems like investors should be more bullish with all the recent news

If they didn’t heavily short it, it might could get to the 5 dollar range without a RS. Most EV stocks are trading around 10 dollars or more so currently this is undervalued. The valuation it receives before the merger will play a big part. Currently the market cap on NAKD is 623M but that’s based on pre merger agreement.

Considering the valuations of other EVs, this should come in much higher especially with them already producing and selling vehicles and they make their own chips

I agree with everything you just said. That’s why I bought it to begin with. That’s what also leads me to believe it’s being manipulated like crazy. Centro just got an order for 2,000 more vehicles and the stock is tanking.

I’ve never seen anything like it. I just don’t know what to think or believe on this stock.

It should be going up. But then I read a RS of 20:1 is coming, and then after the merger NAKD holders only keep 3 out of every 10 shares. So after both if you held say 1,000 shares now you’d end up with 15 shares. That scares me, because you would need a very high valuation to even break even and lose any opportunity to make decent money unless you just held hundreds of thousands of shares beforehand.

But I’m not sure that’s even true I don’t believe a lot of the stuff on stocktwits which is why I ask here. I know a RS is possible and am
ok with that because I think the valuation will still make me come out way ahead and getting it over 5 dollars will bring in big firms, but wouldn’t how much the split is depend on share price and the valuation before merger? And is the keeping 3 out of 10 shares for NAKD holders post merger true?

But then I also read that anytime you see a stock act like this, you know you have a winner. I.e goes up in the AH 15% on good news, drops 17% at open for no reason at all.

Basically big money is trying to scare all the little people into selling their shares so they can buy them up cheap and when they finally buy up their target number of shares they’ll stop shorting them out and let it fly. If you can stomach it and ride it out you’ll come out a big winner.

So who the frick knows. My cost basis is .69 so .64 ain’t gonna make me sell.
