I’m pretty sure this deal was discussed last year in the GB prerelease thread for Outlaws when Ubi started flying select influencers to galaxy’s edge to preview the game and provide reviews.
When it became apparent the game was hot garbage they went into panic mode and started moving all their releases around their quarterly earnings releases because they needed to inflate sales to justify the desired premium they wanted from tencent for additional funding.
Shadows results happened to be sufficient to justify the lifeline through a spinoff.

If you believe that you're fricking retarded. Of course Tencent is going to have more say. Otherwise they keep their money, let Ubi crash and buy the ips but it's cheaper and safer to invest in Ubi as long as you have a say in product development. You're a fricking dumbass.

There are some instances when recruiting allies that tell you "this choice will affect so and so".....not sure if it really does. Honestly, I'm ok with it. I'm not looking for The Witcher 3 here. But if people were sold that, then Ubi is just being dishonest. And that's not cool.

Most sites are reporting that layoffs and restructuring is expected, but no details have been announced.
I think the way this is going to work is Tencent will oversee game development, Ubisoft will have some veto rights on decisions, and Ubisoft will be the publisher.
Ubisoft will keep a handful of studios open to work on IPs not involved, like Rayman and shite.
Slowly Ubisoft will start closing studios, but for those that Tencent needs for game development. Those studios will be primarily staffed by Tencent hires.
They formed the 2nd company, because Tencent has no interest in the other IP, but wants the rights to these IP. . .which they will certainly get, if they haven't already.
These kinds of deals usually end in outright acquisition, as everyone expects will happen here.
