Making an LLC

Planning on making an LLC but I'm not familiar with the process. How much does this usually cost? Any suggestions when going through the process or is it pretty strait forward?

Also looking into trademarking the business name. I have no clue how to go about doing this or how much this costs either.

Any help or suggestions would be appreciated.

You don't have to go to the SoS's office.

I can't help you with the trademark either.

What type of business? Will you have employees? Do you want to receive a paycheck?

1) Athletic training and condition as of now. May possibly expand.

2) No employees at the moment. Just 3-4 "owners". I use that word lightly because none of us have much invested in the company as of now. We will see when its time to put up. Employees may be a possibility down the road depending on how much business we get.

3)I haven't decided how the pay structure will work just yet. I plan to talk with a CPA regarding this to help minimize taxes.

You need to go sit down and talk with a CPA/attorney, particularly with partners involved.

your operating agreement will be key and you'll need an attorney to advise you on one

If it is not a single member LLC, get your arse to an attorney. Creating one is simple and takes about 30 mins, drafting a good operating agreement is another matter and takes longer.

FYI: I'm a transactional attorney. I don't solicit, but I will tell you to get your arse to a lawyer and have them put something together.

It will not only protect you but protect the relationship between you and other members.

Also, if one party is providing services and another capital, there could be tax implications under section 83 of IRC.

Don't be stupid on this.
