LeBernadin if you want very amazing seafood.
There is a really cool Spanish place in the West Village. I can't remember the name of it. Has a wood fired oven in front. Great roasted fish.
Tertulia is the place.
For anniversary LeBernadin would be a pick. Eric Ripert. He has a tasting menu but I've not had it.

I'd leave times square to eat. I'd recommend Gramercy Tavern, but I haven't eaten there in about 5 years and I've heard the menu has changed for the worse.

If you just plan on eating near Times Square, then Carmine's is always good. The portions are almost too big for just 2 people. On the upper West Side there's a little Italian Rest called Genarro. Excellent food with a nice quaint atmosphere and a good selection of wines. (It's cash only however.) Little Italy is always a great experience, but I would save this for a lunch date instead of dinner. It is a little sketchy at night.

Nice, romantic, and not overly priced lunch at Toqueville. I also had a great lunch at Gotham Bar and Grill. Both are easy to get to on the subway and you can walk around the Union Square Greenmarket which is really nice.
