Elon Musk is from South Africa. He already knows what it is like to see a society collapse to a radical left, totalitarian style uprising. Same with Laura Logan by the way.

When he sees all of the western world teetering on this same cliff, it is in his self interest to intervene and prevent another societal collapse. If the US goes, the west goes.

My question is this. If the board doesn’t take the above value offer, have they acted in the best interest of the shareholders? Isn’t that their fiduciary responsibility? Could a class action by shareholders be a slam dunk?

No matter what shite will be interesting

Absolutely. There will have to be a shareholder vote of shareholders with at least 51% ownership stake. Now they might have enough of their cronies with 51% ownership stake to vote it down but that isn't 100% because institutional investors probably hold their shares and they love profit and they also have fiduciary duties.

Elon is beyond “frick you” money. He’s got “frick ME” money where he can hurt himself financially to prove a point.

Disagreed. He's not that liquid as the majority of his wealth is tied to his Tesla stock (somewhere around 70% a couple years ago). It's a terrible idea to take your wealth out of Tesla and put it in Twitter.

He will borrow the money to avoid capital gains tax.

Winner winner chicken dinner. He won't use his own money for this. He will leverage what he has but will not cash in any Tesla shares.

Elon is a modern Howard Hughes.
