Wow

quote:

Paramount says its takeover of CNN’s parent company, Warner Bros. Discovery, will be delayed for many months, and potentially well into 2027, due to pending lawsuits by state attorneys general and the Writers Guild of America.

Paramount said in a Friday afternoon court filing that it has agreed not to complete the mega-merger until an antitrust trial takes place, or until June 1, 2027, whichever comes first.

The agreement is subject to approval by Judge Araceli Martínez-Olguín, who is overseeing the case. But the announcement blows up Paramount’s original plan to take control of Warner by the end of September. It was the result of discussions between the lawyers for all the parties involved.

quote:

The agreement cancels an August 3 hearing on the states’ request for a preliminary injunction and withdraws the Writers Guild’s similar motion

Instead, the parties will move quickly toward a trial on the underlying antitrust claims, with a proposed schedule due next Friday. The new timetable could also leave room for a negotiated settlement.

The delay is potentially costly for Paramount. Under the terms of the merger agreement, the company will begin to owe Warner Bros. Discovery shareholders a 25-cent-per-share “ticking fee” each quarter the transaction remains incomplete after September 30.

I think the strategy is to get a trial scheduling order set instead of letting the states delay with a series of motions and PI hearings

This is $650 million per quarter. Rough.

Our court system is so stupid. There's no reason to deny this merger. This is just as stupid as when they tried to delay the Microsoft purchase of Activision. They won't be able to show that Paramount's purchase of WBD would be harmful to competition.

ETA: Just like I did with ABK then, I'll just keep holding on to my WBD stock because this is definitely going through.

Talking to these people about money or finance is like trying to teach a goldfish Latin. Up until that s year they didn’t know the different between net and gross. We had to explain movie profits to them because they thought if a movie cost 200mil production and made 250 it was a profit. They thought theaters showed movies for free lol.

There definitely needs to be recompense for these delay tactics that are obviously and solely for political reasons. There is no legitimate anti-competition argument for delay.

Who are you talking about and can you provide some proof of this?

The WBD stock has dipped on this news. This is an awesome buy opportunity for anyone wanting to get in on it before it eventually does sell for $30 a share.

ETA: I originally got in at $8.77 a share when Paramount started rumors about wanting to buy it.

It's definitely going to go thru. The states are just trying to delay as long as possible. I think they want Ellison to give up CNN

That may be, but that also won't happen and there is no legitimate reason for him to do that.

They'll take it out of the asses of the states that filed the lawsuits when they ultimately lose.

Where the frick did this come from?

Do you not believe $650 million per quarter is a tough pill to swallow? Because the paramount lawyer has said it is.

This is nothing more than a case of TDS. Stop playing dumb

They will make the money back and much more after the sue and the merger goes thru. I hope they take everything these states are worth that is preventing this from happening. They need to be humbled.

I have not defended this suit or attacked Trump. Stop posting on a board when you are functionally illiterate.

I provided the specific fee amount, which was not in the OP. That is called information. If you listen to Makan Delrahim, head of Paramount's legal counsel, on The Town, you can hear him talk about this.

They will make the money back and much more after the sue and the merger goes thru

Maybe, but not if they settle. And Delrahim has said a settlement offer was sent to the states before they officially filed. Paramount is not interested in going to trial.

Yes but because of the penalties each quarter. they’d rather give some concessions to get them to approve it, but my gut says Cali will demand CNN. Not sure how that’ll go

They already agreed to give up a joint deal with Universal to get the EU to approve it
