I own a decent amount of HSY. I have planned on holding it long-term. I would rather this deal not happen.

I held a nice chunk in my Roth. I sold it all around $115 for 2 reasons:
1- Most likely this deal will not be approved, just like the many buy out propositions of HSY in the past
2-I don't want to own HSY if they are absorbed into another company

I agree with both of your points. I am just going to hold because there is nothing else I want to buy right now. There could be another bidder come into the picture and drive the price up. If the deal is passed then I will sell because I don't like the management of Mondelez. I would rather this deal get killed and continue to hold the stock for the next 40 years.

HSY unanimously voted to deny the buyout.
I could see Mondelez throwing a larger bid at them which may still happen

It's a great American company that has made generations of investors wealthy. There are not many companies that have the history and consistent returns that HSY has produced over the last 100+ years. If they get bought and you sell you have to pay taxes on your gains and/or find another company equally as good at a decent valuation to invest in. Mondelez specifically has a track record of destroying brand loyalty of their acquisitions with their poor leadership. Not many companies can buy HSY and do as well or better than the HSY leadership has done running their business. They haven't even scratched the surface of international growth and should be around another 100 years making basically the same products.
