He's got exploding and electrocuting Batarangs, which I think would be pretty effective against him. It all depends on the environment. In a dark city, Batman destroys him. An open battlefield, I think Batman is killed. Plus Batman likely has other things in his arsenal to take him down.

I could see a scenario where if Batman is able to sneak around in the dark and surpise Cap, he could take him. But in an arena type environment, I don't think he stands much of a chance.
I know that Batman is used to fighting characters stronger than he is like Killer Croc and Clayface, but he can usually out smart the extremely strong villians. The only one that I would consider with a mind that's at Cap's level would be Bane, and Bane almost killed him. So unless Batman can take him totally by surpise, he would have a tough time taking out Cap.
