How to perform DD on NUTX?

Nutex is a Texas based company that has recently reverse merged with Clinigence Holdings (CLNH). They are newly listed on the nasdaq as NUTX. The far majority of the company is the Micro Hospital division, which operates approximately 16 micro ERs in several states with 15-20 more in different phases of development.

Full disclosure, I work for this company as a peon. I also own what would be considered an insignificant amount of shares by most standards.

My question is this. How do I judge the integrity of the stock NUTX? My gut tells me that it will be a very lucrative investment to put a ton of my investment moneys into but all I have is my gut feeling and a general knowledge that my little piece of the company is making money hand over fist. I can only assume that the rest of the company is doing well but I don’t want to invest on an assumption. I have almost doubled my money in the last month but admittedly the stock price is very labile (as it is new) and there are many days when my account is very deep red.

I also know that the far majority of the stocks (approx 90%) are held by physicians and cannot be sold for quite some time per SEC regulations. When that day comes that they can be sold, should I expect the price to rise or fall? I know that the future cannot always be predicted, I am just asking for historical evidence.

The only other info that I can provide is the random news links that are in the yahoo financial news section of the above yahoo link.

I have never attempted to read a raw financial report from an SEC report. Is this one bad or good and why? I do know that the day it was released (5/13/22), the stock price jumped 20%. I assume it is because the financials were good. Why?


Where do I go from here? What do I need to watch? Is it too early to base decisions on a p/e? I am largely in the dark on these things and am looking for advice on how to continue my evaluation.

All else being equal, the end of a lock up period adds selling pressure, so it’s typically not good for the stock price in the short term.

As for DD on this stock, there isn’t much to be had. Even the 10-Q posted was for Clinigence only since the quarter ended before the merger.


A $5B valuation on a company that opts for a reverse split given the equity market we saw in 2021 (deal was announced in November 2021) is just a little suspect, particularly without any real financials.

Sounds like some WSB bullshite based on the ticker "nutt-ex" and not any sore of relevant fundamentals.
