Need some help

Friend of mine is trying to send in ideas for a logo to a company but we both suck using photshop. So I was wondering can anybody help him out.
This the image he wants to use but needs these replaced.
USA- 6 Owes Makes a million
Embassy- DGDG
and i figure it will look better in all black
