Honesty is the best policy, and your "loyalty" should belong to you and your family. You don't owe either company a thing, but if you are honest about it, you will likely not burn any bridges. NO employer is loyal to you. They are using you and you are using them. If your employer thinks for a second they could make more money without you - you are gone. Decide what is best for you and your family and go with that. I've been in your situation a few times and have stayed with the first company as well as moved on. In 25 years of this business, it has always worked out well for me. What I gained is a pretty good relationship with three companies that I could go to work for either if I had to.

Sounds like you made the right decision.

A counter offer from my employer would only serve to piss me off. If I'm worth the money you're throwing at me in the counter offer, why haven't you been paying me that all along?

I hate my job and they pay me really well. I'd leave for less money in a heartbeat.

Take the job with the up and coming.

I take it you are still seeing a slight raise with the new company? As an up and coming business, getting in early should bode well for you.

Also you clearly don't like the current company, other people seem to hate it so bolt. Most people I know working for smaller companies are happier, generally speaking of course. Also in regards to that transfer they are promising you, be sure to get a firm timeline for that if you stay. Friend of mine has been waiting for his transfer out of nowhere alabama for 9 months.
