William Adama is about as good a character as you can get.

I'd add:
Fox Mulder
John Luther
Tony Soprano
Walter Bishop

But Adama's entire arc, Olmos' performance, just all awesome.

For Movies:
Lope de Aguirre is numero uno, but this list is much longer. Lots of great movie characters.

ETA: He may not be the best character, but he is definitely one of my favorites and meets all your criteria (in my opinion):

Criteria:
Interesting back story - [X]
3-dminesional/ dynamic - [X]
Interesting situations - [X]
Played by a good actor/actress - [X]
Doesn't have to sway towards good or evil - [X]

Seem to meeting all your criteria, so for me I'll go with Boyd.

Such a underrated character. Coates did a great job in that role.

Love that character. Great foil to Raylon. Can't wait to see how the series ends.

Chance the Gardener or Colonel Dax maybe. There's probably someone who I like as good or better than these two, but that's just who is popping into my head right now.

Oh yeah. Good one. Fringe is a pretty damn good show, but Walter elevated the whole experience. I found that I continued watching just for him.

My favorite:

William Munny from "Unforgiven."

Great actor, considered one of his best acting jobs, interesting character with a mysterious backstory, drives the story around him, is the pivotal player in the climax, his reputation is as much a character in the story as his person. Conflicted internally. You hang on everything that he says and does, because you know what could happen. He's walking suspense. And when it does happen... there's a payoff.

On the Boardwalk empire theme

I have to say Gyp Roseti was very well done.

Here is some other favorites of mine. May not be the best shows but the character itself was really good.

The Missing - Tony Hughes was great. If you haven't seen this show it's a must watch IMO.

True Detective - Russ

Big Hero 6 - Baymax

Also, Silver Linings Playbook had 2 standouts.

In this era where TV series have become so deep and well-done, it's really hard for a movie character in a 2-3 hour movie to match what a TV show can do in 60 episodes. Hell, even 10 episodes. I think Michael Corleone is a good pick for movies--The first 2 Godfathers (ignoring the 3rd) gave him about 7 hours to tell his story. Snape is a good pick too since he had 7 movies to build his story. Robert Ford in The Assassination of Jesse James BTCRF is another one of my favorites.

With that said, this seems more like a TV show award.

John Luther (Luther) --think I only saw one mention. Incredible character.
Bubbles (The Wire)
Omar Little (The Wire)
Gustavo Fring (Breaking Bad)
Al Swearengen (Deadwood)
William Adama (Battlestar)
Saul Tigh (Battlestar)
Tyrion Lannister (Game of Thrones)
