Nope. If there is a prosecutable offense it would along the lines of failure to execute a fiduciary obligation or a malfeasance type of offense.

That is why I came to this board to seek input from lawyers or any one with legitimate knowledge of these matters.

So unless you can supply meaningful information why don't disengage from this thread and quit with the snarky comments.

The board quite frankly does not have the intellectual curiosity to recognize what has occurred and the board is now stacked with cronies of the CEO.

The board is not yet aware of the looming cliff. They are continuing to receive divdends from the successful years and have no idea of the precipitous drop that is looming. The profit margin has dropped from 30 % to 7% and will adversely affect smaller and medium sized business more than larger operations. Once those smaller operators realize what has occurred they will have some decisions to make.

Unknown, but a justice department investigation can turn up some unexpected things including Sarbanes - Oxley.

Sounds like the shareholders voted in a shitty board, who voted in shitty upper management. Yet again, you should be more pissed at the board members for failing to be educated and allegedly not being great at their fiduciary duties.

I agree, but I am beyond assessing blame to the board. As amazing as it may sound, the board was clueless about what occurred and learned of it only after the fact. At that point negative ramifications had not developed . Now they have but the board is now stacked with cronies. There are other factors I won't go into , but if this onion ever gets peeled it will be multiple layers thick.

AT&T CEO Randall Stephenson blew 10 billion with a B on a failed attempt at acquiring T-Mobile.

He received a 24 million dollar bonus that year.
