Deleware is an odd state. The very northern area (Wilmington and the surrounding towns) is just over the line from the Philly area. The majority of the rest of the state is a peninsula (connected to the Norfolk Va area via the Chesapeake Bay Bridge/Tunnel) and is very rural and agrarian. The southern part feels a lot like western MA or central VA if you take out Charlottesville. It is a bit like Rhode Island in that it is difficult to find some characteristic that defines it.

I grew up in Delaware & graduated from the University of Delaware in 1999. Moved to Atlanta in 2000 & never looked back. Go Blue Hens!

You’re 100% correct about LLC’s being incorporated there. People living in other states constantly asked to use my home address for tax purposes & to incorporate there. It’s a tax shelter state with zero sales tax. I still go home often & the landscape is nice. Not much else to see or do though.

Tons of LLCs are out of Delaware

There is a reason for this. Delaware has an extensive body of case law and rulings thanks in part to the Court of Chancery. It’s a special court that they set up specifically to handle corporate disputes. So when it comes to setting up a corporation Delaware is the preferred location because it provides the best legal guidance and stability for corporations, lawyers and judges alike.

There’s a decent amount wrong here. First, LLCs aren’t incorporated. They’re formed. Corporations are incorporated.

Second, you don’t have to have an address there (other than a registered office for service of process, but there are service providers that are paid for that) to form or incorporate an entity there.

Third, it’s not a tax shelter state. I have no clue what that means. Yes, there is no sales tax there, but that has nothing to do with being a tax shelter.

Fourth, they have nice beaches.

All I know is Wilmington is a ghetto shithole and Delaware is one of two states (the other being Florida) with a lower highest-elevation point than Louisiana.

Hah - I didn't believe either until went to the beach for a weekend when I was living on the East coast. Although now that I think about it, Dewey Beach may have just been a hologram.
