Is he rushing the transaction? If so, and if he knows you can't get in touch with your counsel, this seems like a big red flag, too.

No, he has been asking for this deal awhile, about a month. I am just now considering it.

Interestingly, I just received a call from a gentlemen in Shreveport and he offered me $7000 for it.

Sounds like a question business owners ask ourselves almost daily.

"Is the potential profit worth the risk of loss, or is the real risk just to break even?"

Based on the OP's comments, he's not too far from break even with the deposit.
