Does this trade seem legit?

Guy needed a TE, as Owen Daniels was his only TE and he's on bye this week. This trade was between a guy who is trying to make the playoffs and his good friend who is in 2nd to last and season is pretty much over.
Guy who needed the TE traded Owen Daniels, LaFell, and Steve Smith for Jimmy Graham.
Does that seem fair or not?
